DEC 5000/120 upgrade to R3000 @40MHz??

Hi.  I have a DEC 5000/120 and I was wondering if it is an async
design?  Ie, can I drop in a 40MHz R3000 (is the CPU surface mounted
or in a PGA socket on the 5000/120??)  CPU and expect it to work
after replacing the crystal?
